How We Form Your Fund

Our comprehensive fund formation process ensures your investment vehicle is properly structured, compliant, and ready for launch.

Day 1. Discovery & Structure Design

We start with an interactive questionnaire and strategy call to understand your investment thesis, target investors, and timeline. Based on this information, we recommend the optimal legal structure—Delaware limited partnership, Cayman feeder, series LLC, or other vehicles as appropriate.

Week 1-2. Document Drafting

Our fund‑formation attorneys draft the core offering and governing documents: Private Placement Memorandum, Limited Partnership Agreement, Subscription Documents, Operating Agreement for the General Partner, and related ancillary forms.

Week 1-2. Entity Formation & Tax IDs

Concurrently, we establish the general partner, management company, and obtain Employer Identification Numbers to enable banking and brokerage onboarding.

Week 3-4. Review & Finalization

We circulate drafts for your comments, incorporate feedback, and prepare execution versions. Once finalized, you can open bank and brokerage accounts and accept initial capital commitments.

Week 5-6. Regulatory Filings & Closing Memorandum

We file Form D, prepare and submit a state Form ADV only when required, and handle blue‑sky notices once the first capital is accepted after launch. You also receive a closing memo outlining the structure, obligations, and key compliance dates.

6. Ongoing Compliance Support

After launch, we stay in contact, remind you of required annual filings—Form D annual update and Form ADV annual amendment—and support any regulatory submissions or structural updates you need.
